Terms of Service

Welcome to SpendVisible. These Terms of Service ("Terms") govern your access to and use of the SpendVisible web application and related services (the "Service") provided by SpendVisible LLC, a Georgia limited liability company ("SpendVisible," "we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. Eligibility

You must be at least 18 years of age and a resident of the United States to use the Service. By using the Service, you represent and warrant that you meet these requirements and have the legal capacity to enter into a binding agreement.

2. Account Registration

To access the Service, you must create an account. You agree to:

Provide accurate, current, and complete registration information
Maintain the security of your password and account credentials
Notify us immediately at hello@spendvisible.com of any unauthorized account access
Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription and Payment

3.1 Plans and Pricing

SpendVisible offers the following subscription plans:

Monthly Plan: $7.00 per month
Annual Plan: $60.00 per year (billed annually)

Prices are in U.S. dollars and are subject to change with 30 days' notice.

3.2 Billing

Subscriptions are billed in advance. Payment is processed via Stripe. By providing payment information, you authorize us to charge the applicable fees on a recurring basis until you cancel. You are responsible for any taxes applicable to your subscription.

3.3 Free Trial

We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. No charges will be made during the trial period.

3.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide prorated refunds for partial billing periods, except where required by applicable law.

3.5 Refunds

All subscription fees are non-refundable except: (a) within 7 days of your initial purchase if you have not materially used the Service, or (b) as required by applicable law. To request a refund, contact hello@spendvisible.com.

4. Use of the Service

4.1 Permitted Use

Subject to these Terms, SpendVisible grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial financial tracking and analytics purposes.

4.2 Prohibited Conduct

You agree not to:

Use the Service for any unlawful purpose or in violation of applicable law
Share your account credentials with others or allow multiple users to access the Service through a single account
Attempt to reverse engineer, decompile, or disassemble any part of the Service
Use automated tools (bots, scrapers) to access the Service without our written consent
Upload or transmit malicious code, viruses, or harmful content
Interfere with or disrupt the integrity or performance of the Service
Attempt to gain unauthorized access to our systems or other users' accounts

5. Third-Party Services

The Service integrates with the following third-party providers:

Plaid Inc. — bank account connectivity and transaction sync
Google LLC (Gmail API) — read-only access to your email for receipt parsing
Anthropic, PBC — AI-based categorization, receipt parsing, and merchant enrichment
Stripe, Inc. — payment processing for paid plans

Your use of these integrations is subject to their respective terms of service and privacy policies. SpendVisible is not responsible for the availability, accuracy, or practices of third-party services. Our use of your data with these providers is described in our Privacy Policy.

By linking your financial accounts through Plaid, you authorize SpendVisible to retrieve and store your financial transaction data on your behalf to provide the Service. By connecting your Gmail account, you authorize SpendVisible to read receipt-shaped messages on your behalf using read-only access; we never send, modify, label, or delete email on your behalf.

6. Data and Privacy

Our collection and use of your personal and financial data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

7. Intellectual Property

All content, features, and functionality of the Service — including software, text, graphics, logos, and user interface elements — are owned by SpendVisible LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. SpendVisible disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

SpendVisible does not provide financial, investment, tax, or legal advice. The Service is a data aggregation and visualization tool only. You should consult qualified professionals for financial decisions.

9. Limitation of Liability

To the maximum extent permitted by law, SpendVisible LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if advised of the possibility of such damages.

Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amounts you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SpendVisible LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by canceling your subscription and deleting your account. Upon termination, your right to use the Service ceases immediately.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

Class action waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis only, not as a class or representative action.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or prominent notice within the Service. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
